These Terms of Service ("Terms") govern your use of the services provided by Nusmark Ltd ("Nusmark", "we", "our", or "us"). By accessing or using Nusmark via our website, web application, chat-based interfaces (including but not limited to WhatsApp, Slack, and Microsoft Teams), calendar integrations, booking links, or any other supported platforms (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy.

1. Definitions

• 'Service' means Nusmark's platform and features, including AI-assisted scheduling, booking links, calendar and chat integrations, automation, and related functionality.
• 'User' means any individual or entity accessing or using the Services.
• 'Premium Services' means paid or subscription-based features offered by Nusmark.
• 'Third-Party Platform' means external services integrated with Nusmark, including but not limited to Google Workspace, Microsoft Outlook, Slack, Microsoft Teams, Mozrest, TripAdvisor, or CRM platforms.
• 'Booking Links' means links generated by Nusmark to coordinate availability, bookings, or meetings.

2. Service Access and Use

By using the Services, you:

• Confirm that you have read and agree to these Terms and the Privacy Policy
• Authorise Nusmark to process messages, calendar data, and availability information to provide scheduling, booking, and automation features
• Consent to Nusmark accessing third-party integrations you connect, strictly within the permissions you grant

You are responsible for ensuring that your use of the Services complies with applicable laws and organisational policies.

3. Age Restrictions

The Services are not intended for individuals under the age of 16. If you are under 16, you may only use the Services with the consent of a parent or legal guardian. Nusmark does not knowingly provide Services to minors without appropriate consent and will delete such data if identified.

4. User Conduct

You agree not to:

• Misuse or interfere with the Services, AI features, or integrations
• Engage in unlawful, abusive, fraudulent, or misleading activity
• Attempt to reverse-engineer, disrupt, or bypass security or access controls
• Use the Services to violate the rights of others

Violation of these obligations may result in suspension or termination of access.

5. Data Collection and Usage

Nusmark processes data solely to operate and improve the Services, in accordance with the Privacy Policy.

5.1 Integrations

If you connect third-party platforms, you authorise Nusmark to access and process relevant data such as calendar events, availability, and metadata to:

• Create, edit, and reschedule items
• Generate and manage booking links
• Avoid scheduling conflicts
• Improve accuracy of availability and automation

Nusmark accesses only the minimum data necessary to provide the enabled features.

6. Bookings and Third-Party Services

The Services may enable bookings, reservations, or referrals through Third-Party Platforms.

Nusmark does not control and is not responsible for:

• Availability, accuracy, or fulfillment of third-party services
• Cancellations, disputes, or service delivery
• Data handling or business practices of Third-Party Platforms

Your interactions with third-party services are governed by their own terms and policies.

7. Privacy and Security

Your use of the Services is subject to our Privacy Policy. Nusmark implements reasonable administrative, technical, and organisational safeguards but does not guarantee uninterrupted or error-free operation.

8. Intellectual Property

All rights, title, and interest in the Services, including software, interfaces, branding, and AI systems, are owned by Nusmark or its licensors. You may not copy, modify, or use any part of the Services except as expressly permitted.

9. Premium Services and Pricing

Premium Services may be offered on a subscription basis. Pricing, features, and availability may change over time. Subscriptions renew automatically unless cancelled in accordance with the applicable terms provided at purchase. Any material changes will be communicated in advance.

10. AI Functionality

AI-assisted features operate based on user inputs, configurations, and permissions. Outputs may be probabilistic and are provided for assistance only. Nusmark does not guarantee accuracy, completeness, or suitability of AI-generated outputs and you remain responsible for reviewing results.

11. Feedback

Any feedback, suggestions, or ideas you provide may be used by Nusmark to improve the Services without obligation or compensation to you.

12. Limitation of Liability

To the maximum extent permitted by law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis. Nusmark does not warrant uninterrupted access, error-free operation, or accuracy of AI outputs.

Nusmark is not liable for indirect, incidental, consequential, or special damages, including loss of data, revenue, or business opportunities, arising from use of the Services or third-party integrations.

13. Termination

Nusmark may suspend or terminate access to the Services if you breach these Terms or use the Services in a manner that poses risk to Nusmark, other users, or third parties.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Services, email, or other reasonable means. Continued use of the Services after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising from these Terms or the Services.
